These Terms of Use ("Terms") govern your access to and use of our website, member directory, events directory, member portals, Certificate of Origin digital processing platform, and other services or content provided through our website (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, you may not use the Services.

- Attempt to gain unauthorized access to any portion of the Services, other accounts, or computer systems or networks connected to the Services.

3. Membership and Payment Processing
- (a) Membership. The Chamber offers membership opportunities for individuals and businesses. By signing up for membership, you agree to provide accurate and complete information and to update such information as necessary.
- (b) Payment Processing. Payments for membership and other services are processed through third-party payment processors. By submitting payment information, you authorize us to charge the applicable fees. You acknowledge that payment processing is subject to the terms and conditions of the third-party payment processor.
4. Intellectual Property
- (a) Ownership. The Services and all content, features, and functionality (including but not limited to text, graphics, logos, images, and software) are owned by the Chamber or its licensors and are protected by copyright, trademark, and other intellectual property laws.
- (b) Limited License. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal or organizational use. You may not reproduce, distribute, modify, or create derivative works of the Services without our prior written consent.
5. Privacy
Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, disclose, and protect your personal information. By using the Services, you consent to the practices described in the Privacy Policy.
6. Certificate of Origin Digital Processing Platform
The Chamber collaborates with the American World Trade Chamber of Commerce to provide a Certificate of Origin digital processing platform. By using this platform, you agree to comply with all applicable laws and regulations governing the issuance and use of Certificates of Origin.
7. User-Generated Content
- (a) Responsibility for Content. You are solely responsible for any content you submit, post, or transmit through the Services, including messages sent through the Business Messaging feature. You agree not to submit content that is unlawful, defamatory, obscene, or otherwise objectionable.
- (b) License to the Chamber. By submitting content, you grant the Chamber a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and display your content in connection with the operation of the Services.
8. Limitation of Liability
To the fullest extent permitted by law, the Chamber and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, even if advised of the possibility of such damages.
9. Indemnification
You agree to indemnify, defend, and hold harmless the Chamber and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services or violation of these Terms.
10. Termination
We reserve the right to suspend or terminate your access to the Services at any time, without notice, for any reason, including your violation of these Terms.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Los Angeles County, California.
